entitlement to sovereign immunity, is unable to accept contract provisions that require the indemnification of others. Any indemnity language in proposed terms and conditions will be modified to conform to language acceptable to MCC. MCC is a political subdivision of the state of Missouri and as such cannot create indebtedness in any one year above what it can pay out of the annual income of said year. Should MCC determine it has not received adequate appropriations budget allocations income to enable it to meet the terms of this Contract, MCC reserves the right to cancel this Contract with a 30 days’ notice. Multi-year term and supply contracts and leases and the exercise of options to renew are subject to annual appropriations. 2. SCOPE OF SERVICES Metropolitan Community College (“MCC” or “College”) is soliciting proposals for Real Estate Broker Services. Proposers (also herein referred to as “Contractors”) will execute and submit all proposals in accordance with the instructions and the applicable provisions of the specifications within this Request for Proposals (“RFP”). MCC anticipates that it may have future needs to purchase, sell, or lease commercial real property as well require assistance with a variety of research regarding particular aspects of the commercial real estate market. Therefore, MCC has an ongoing need for a real estate broker with extensive experience dealing with commercial real estate sales, leases, and research on an as-needed, project- by-project basis. MCC is seeking to contract with a real estate broker licensed in the State of Missouri with a minimum of five (5) years of experience handling complex commercial real estate purchase and leasing transactions to assist MCC with all aspects of potential acquisition(s) and/or disposition of various interests in real property (including, but not limited to, acquisitions, dispositions, and commercial leases), and with a variety of real estate market research, on an as-needed basis. The real property to be acquired may be located within major commercial corridors, industrial, retail, or residential areas. In addition, MCC reserves the right to renew and extend the executed agreement pertaining to all prices, terms and conditions and specifications upon mutual agreement between MCC and the Contractor for two (2) additional one (1) year periods based on pricing and level of service. The selected broker will be expected to provide the following services: A. Perform market analysis, including determining the estimated fair market value of potential acquisitions and/or dispositions, and determining fair market rental packages (including base rent, operating expenses, tenant improvement allowance, annual escalation, etc.) of potential commercial leases; B. Research and
